
Vodafone completes the acquisition of Ono by 7.2 billion euros Las sinergias de costes e inversiones entre Vodafone y Ono podr an alcanzar los 240 millones anuales, antes de los costes de integraci n y una vez transcurridos cuatro a os del cierre de la operaci n, lo que supone un valor actual neto, integrando los costes, de 2.000 millones de euros.
La brit nica Vodafone ha decidido finalmente dar un paso adelante y hacerse con el control del cableoperador espa ol Ono en una operaci n cifrada en 7.200 millones de euros.
Las sinergias de costes e inversiones entre Vodafone y Ono podr an alcanzar los 240 millones anuales, antes de los costes de integraci n y una vez transcurridos cuatro a os del cierre de la operaci n, lo que supone un valor actual neto, integrando los costes, de 2.000 millones de euros.
Adem s, la firma espera sinergias en ingresos por un valor actual neto de 1.000 millones de euros. La transacci n, pendiente de la aprobaci n de las autoridades regulatorias, valora a Ono en 7,5 veces el EBITDA.
La compra de Ono se enmarca dentro de la estrategia de Vodafone para ofrecer servicios de comunicaci n unificados en toda Europa con una fuerte apuesta por el desarrollo de redes, incluyendo fibra ptica hasta el hogar (FTTH) de la que Ono lidera el despliegue en Espa a.
El consejero delegado de Vodafone, Vittorio Colao, ha destacado que con esta operaci n se crea un proveedor de comunicaciones integradas l der en Espa a, lo que representa una oportunidad para crear una oferta de valor: la demanda de productos y servicios de comunicaciones unificadas se ha incrementado significativamente en los ltimos a os en Espa a, y esta operaci n, junto con nuestro programa de fibra hasta el hogar, acelerar nuestra capacidad de ofrecer las mejores ofertas integradas .
Por su parte, el presidente de Ono, Jos Mar a Castellano, ha indicado que esta adquisici n refleja la posici n atractiva de Ono como el proveedor l der en Espa a de banda ancha de alta velocidad, televisi n de pago y comunicaciones fijas. Como parte de Vodafone, Ono continuar aprovechando nuevas oportunidades de crecimiento y ofrecer la calidad que los clientes esperan , ha asegurado Castellano.
Los principales accionistas de Ono hasta la fecha son CCMP Capital, con el 15,2%, igual que Providence Equity Patners; Thomas H. Lee Partners tiene el 15%, Quadrangle Capital Partners posee el 9%, lo mismo que General Electric Structured Finance; Caisse de D pot et Placement du Qu beq tiene el 6,8%; Multitel el 6%; Val Telecomunicaciones el 5,4%, OTPP Power Luxembourg el 4,8%, Grupo Santander el 4,4%, Sodinteleco (3,9%), Northwesterm Insurance Mutual Life Company (2,3%) y Bregal Co-Invests (1,4%).
M s de 5 millones de servicios contratados
Ono alcanz un total de 5.234.000 servicios contratados a cierre de 2013. El operador dio un nuevo impulso comercial al negocio, con un crecimiento de 7.000 nuevos clientes solo en el ltimo trimestre del a o, hasta alcanzar los 1.868.000 a 31 de diciembre de 2013.
En banda ancha, volvi a la senda del crecimiento y cerr el ejercicio con 9.000 nuevos clientes respecto al trimestre anterior, hasta los 1.531.000. Las altas velocidades siguen siendo el gran valor estrat gico de la compa a, que en 2013 comenz a ofrecer servicios innovadores en el mercado, como son los 200 megas para usuarios de PS4 o los 500 megas para pymes y aut nomos. El operador se mantiene l der del mercado en altas velocidades con 811.000 clientes, que representa el 56% de su base de clientes de Internet.
En m vil, el xito de las ofertas convergentes del operador permiti sumar m s de 183.000 nuevas l neas de Ono M vil' de octubre a diciembre de 2013, hasta superar la cifra de 1.085.000 l neas activas. Para el operador, el servicio m vil no es s lo un motor de crecimiento, tambi n supone una importante palanca de fidelizaci n y satisfacci n del cliente.
TiVo, su televisi n inteligente, super los 323.000 usuarios activos (m s del 40% de la base total de clientes de televisi n) y mantiene una penetraci n positiva en la base de clientes de este servicio, con un crecimiento de 65.000 clientes en el ltimo trimestre. Mes tras mes, el servicio obtiene una valoraci n muy positiva por parte de los usuarios. Adem s, desde el mes de noviembre, todos los clientes de televisi n disfrutan de Ono Tv Online, el servicio de televisi n que permite acceder a los contenidos en m ltiples pantallas (OTT).
Para pymes y aut nomos (SoHo), la compa a continu aumentando el n mero de servicios contratados hasta alcanzar la cifra de 355.000 a cierre de 2013, lo que supone un incremento del 54,3% con respecto a 2012. La oferta de Ono para este mercado incluye velocidades de banda ancha de hasta 500 megas reales, as como una completa apuesta por el servicio m vil y productos de valor a adido para este segmento como centralita virtual o servicios cloud como Nubo'.
