PULS 4 Concludes Acquisition of ATV

Munich/Vienna, April 6, 2017. ProSiebenSat.1 PULS 4 is acquiring the Austrian broadcasting group ATV from Tele M nchen Fernseh GmbH & Co. Produktionsgesellschaft. The transaction was concluded today. The acquisition was approved beforehand by the Federal Competition Authority, Federal Cartel Prosecutor and media authorities in Austria.

ATV will be maintained as a full-service broadcaster with clear positioning. At the same time, the private station will benefit after being integrated into ProSiebenSat.1 PULS 4 Group from the synergies within the station family. For example, it is planned to bring marketing, locations, technical operations and studios together by the start of 2018 and to begin cooperating closely in administration and purchasing immediately.

Markus Breitenecker, Managing Director of ProSiebenSat.1 PULS 4, is announcing a change in the management of ATV with immediate effect and appointing Thomas Gruber as ATV Managing Director. Gruber was previously Program Director in the management board of ProSiebenSat.1 PULS 4. In addition, Bernhard Albrecht, CFO of ProSiebenSat.1 PULS 4 Group, will lead the restructuring and the merger together with Thomas Gruber in the coming weeks.

Thomas Gruber, Managing Director of ATV: Through the integration into ProSiebenSat.1 PULS 4 Group and the necessary implementation of the planned restructuring, we are securing ATVs position in the Austrian TV market in the long run and enabling new growth opportunities for the station. ATV is a very good complement to the ProSiebenSat.1 PULS 4 portfolio and can be marketed effectively alongside the Groups other stations. With reasonable complementary programming between PULS 4 and ATV, we will create more Austrian-flavored prime-time offerings for viewers and a clearer positioning for ATV.

Bernhard Albrecht, CFO of ProSiebenSat.1 PULS 4: In light of the urgent need for economic restructuring at ATV, we will consolidate the organization of the station group. This is expected to result in the loss of around 70 jobs at ATV by the beginning of 2018. We are of course trying to find a fast solution secured by a social-compensation plan for all affected employees and have already identified around 20 open positions within ProSiebenSat.1 PULS 4 Group for which we will now give preferential consideration to ATV employees. At the same time, we will be immediately speaking to all partners and suppliers of ATV in order to amalgamate agreements and to jointly make the restructuring a success.
