Cinedigm Announces Closing of Over-Allotment Option in Underwritten Public Offering CENTURY CITY, Calif. & NEW YORK--(BUSINESS WIRE)-- Cinedigm Digital Cinema Corp. (NASDAQ: CIDM) announced today that the over-allotment option granted to the underwriters in connection with last weeks underwritten public offering of 3,780,718 shares of common stock, at a price to the public of $1.38 per share, has been exercised in full. Accordingly, today the underwriters purchased 567,108 additional shares of Class A common stock at the same price.
The Company expects to use the approximately $5.5 million in aggregate net proceeds of the base and over-allotment offering for the acquisitions of library and film content, marketing and distribution expenses related to their growing slate of films prior to home entertainment recoupment, creating over-the-top channels, and for general corporate purposes.
In connection with the offering, Merriman Capital, Inc. and National Securities Corporation, a wholly owned subsidiary of National Holdings Corporation (OTCBB: NHLD), acted as joint book runners. B. Riley & Co. acted as financial advisor to the Company on the offering.
A registration statement relating to the shares of common stocks to be issued in this offering has been filed with the Securities and Exchange Commission (SEC) and is effective.
