Chyron Hego Group acquires and henceforth operate as ChyronHego Buying the Swedish Hego AB and its subsidiaries, Hego Group under the umbrella, specialized in powerful graphics and data visualization solutions for television and sports mean to Chyron an important step for consolidation in the area of graphics on TV, data visualization and production services for live TV.

Chyron Corporation has signed a definitive agreement to acquire Hego AB and its subsidiaries under the umbrella Hego Group, specialized in powerful graphics and data visualization solutions for television and sport. Hego Group is a privately held company based in Stockholm, Sweden, with operations in Norway, Finland, Czech Republic, UK and U.S.. The combined company will operate as ChyronHego.

The transaction will take the form of a stock transaction whereby Chyron will issue a number of shares representing 40% of the total shares of outstanding common shares, including certain outstanding options, in exchange for all the outstanding capital stock of Hego. After achieving revenue targets 2013 a 2015, Hego shareholders are also entitled to receive additional shares Chyron.

The transaction is subject to customary procedures, including approval of the shareholders of Chyron, and is expected to close in the second quarter of 2013. Chyron Board has unanimously approved the transaction and shareholders representing 40% Chyron of outstanding common shares of Chyron have committed to vote in favor of the transaction. Upon closing of the transaction, Johan Apel, President and CEO of Hego Group, will be named president and chief operating officer ChyronHego. Michael Wellesley-Wesley, Chyron President and CEO, continue as CEO ChyronHego. Hego shareholders are also entitled to appoint another member of the Board of Chyron. Morpheus Capital Advisors acted as financial advisor for this transaction.

Notably lines and Hego Chyron products are quite complementary with little overlap. Hego solutions predominantly serve the needs of live sports production with augmented reality proposals, virtual products including player tracking solutions. Meanwhile, Chyron has been more focused on graphics solutions for production workflows in news. After the operation, new ChyronHego be positioned at number two global market share.
