Cinedigm Announces Underwritten Public Offering CENTURY CITY, Calif. & NEW YORK--(BUSINESS WIRE)-- Cinedigm Corp. (NASDAQ: CIDM) (the Company) announced today it intends to offer and sell in an underwritten public offering 7,904,340 registered shares of Class A common stock. Additionally, the Company has granted the underwriters an option for 30 days to purchase up to 1,185,650 additional shares of Class A common stock.

The Company expects to use the net proceeds of the offering for working capital, acquisitions and general corporate purposes.

In connection with the offering, B. Riley & Co., LLC and National Securities Corporation, a wholly owned subsidiary of National Holdings, Inc. (OTCBB:NHLD), are acting as co-lead managers of the offering.

The securities described above are being offered by the Company pursuant to a shelf registration statement on Form S-3 (Registration No. 333-179970), including a base prospectus dated April 9, 2012, previously filed with and declared effective by the Securities and Exchange Commission (the SEC).
