ST. LOUIS--(BUSINESS WIRE)--Belden Inc. (NYSE: BDC), a global leader in signal transmission solutions for mission critical applications, today announced the pricing of its private offering of 300 million in aggregate principal amount of 5.5% senior subordinated notes due 2023 at an issue price of 100% of the principal amount. The offering size was increased to 300 million from 200 million. Belden expects this offering to close on March 21, 2013, subject to customary closing conditions. The notes will be guaranteed on a senior subordinated basis by certain of Belden's current and future domestic subsidiaries that guarantee Belden's indebtedness under its senior secured credit facility.
Belden intends to use the net proceeds from the offering to repay revolving borrowings under its senior secured credit facility and for general corporate purposes.
The securities offered have not been registered under the Securities Act of 1933, as amended (the Securities Act) or any state securities laws; and unless so registered, the securities may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
